Where AI, automation, software, analytics, or technology advisory services are provided, clients acknowledge that:

• Performance may depend on third-party platforms.

Strivee Consultancy is not responsible for:

• AI-generated errors.
• Third-party platform failures.
• Data inaccuracies supplied by clients.
• Cybersecurity incidents beyond our reasonable control.

Clients remain responsible for reviewing and validating outputs before implementation.

Unless otherwise agreed in writing:

• All invoices are payable within the specified due date.
• Delayed payments may incur applicable interest charges.
• Services may be suspended for overdue accounts.
• Taxes applicable under Indian law shall be borne by the client.
• Payments already made may be non-refundable unless explicitly stated otherwise.

Due to the nature of consulting and professional services:

• Consultation fees are generally non-refundable.
• Workshop registrations may be refundable only if cancelled within approved timelines.
• Customized consulting engagements are non-refundable once work has commenced.
• Any exceptions shall be documented in writing.

Both parties agree to maintain confidentiality regarding non-public information exchanged during engagements. Confidential information includes:

• Business plans
• Financial information
• Client lists
• Operational processes
• Strategic documents
• Internal reports
• Proprietary methodologies

This obligation survives termination of the engagement. Information shall not be considered confidential if it is publicly available, independently developed, or required to be disclosed by law.

To the fullest extent permitted by law, Strivee Consultancy shall not be liable for:

• Indirect damages
• Consequential damages
• Incidental damages
• Special damages
• Loss of profits
• Loss of business opportunities
• Loss of goodwill
• Loss of data

Total liability arising from any claim shall not exceed the amount paid by the client during the six months immediately preceding the claim.

We shall not be liable for delays or failures caused by events beyond our reasonable control, including:

• Natural disasters
• Government actions
• Internet disruptions
• Cyberattacks
• Power outages
• Labor disputes
• Epidemics
• Pandemics

We reserve the right to terminate or suspend services if:

• Terms are violated.
• Fraudulent activity is suspected.
• Payments remain outstanding.
• Conduct threatens employees, contractors, or business interests.

Termination shall not affect accrued obligations.

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Mumbai, Maharashtra, India.
